Welcome to Task Loyalty LLC. By accessing and using our services, you agree to comply with the following terms and conditions. These Terms apply to all users of our website and services.
By accessing and using the services of Task Loyalty LLC ("we", "our", "us"), you ("client", "you", "your") agree to be bound by these Terms and Conditions. If you do not agree with any part of the terms, you must not use our services.
Task Loyalty LLC offers a comprehensive suite of services, including but not limited to digital marketing, CRM, social media management, maintenance and janitorial services, construction, and business consulting. We reserve the right to modify or discontinue any service (or any part or content thereof) at any time without notice.
Client Cooperation: Timely cooperation and provision of necessary resources and information by the client are required. If delays are caused by the client’s unavailability or lack of feedback, Task Loyalty LLC reserves the right to terminate the project with written notice.
Completion:The project will be considered complete once the agreed deliverables are provided or made live, as applicable. Final payment is due upon project completion.
Changes to Scope of Work: Fees quoted are estimates based on initial project assessments. Additional fees will be charged for any extra work resulting from client-requested changes or additions post-approval. This will be billed at a rate of $100 per hour unless otherwise specified.
Fees: Fees for services are detailed in individual agreements with each client. Payments must be made according to the agreed schedule.
Additional Results-Based Fees: In addition to the agreed-upon fees within digital plans, clients shall pay an additional percentage of between 14% and 24% of the results achieved by Task Loyalty LLC. The exact percentage will be finalized during the onboarding process.
Non-refundable Deposit: A non-refundable deposit is required at contract signing.
Changes in Fees: Task Loyalty LLC reserves the right to change service fees with prior notice.
Late Payments: Any overdue payments may incur interest charges at a rate of 5% per month.
Payment Processing: Payments must be made via the provided payment methods, and clients agree to maintain accurate and up-to-date payment information with Task Loyalty LLC.
Project Cancellation: If a project is canceled by the client or delayed for more than one month, Task Loyalty LLC may terminate the agreement and invoice for the greater of all work completed up to that date or the deposit amount.Termination by Task Loyalty LLC:This Agreement may be terminated by us if the client fails to comply with material obligations or fails to pay fees. Task Loyalty LLC may also terminate the agreement if the client impedes our ability to perform services.Intellectual Property on
Termination:Clients retain intellectual property rights of source material provided to Task Loyalty LLC for use in connection with this project; however, all work product created by Task Loyalty LLC will remain our property until all fees under this agreement have been paid in full.
Ownership: Task Loyalty LLC retains ownership of all web content, design, and other work product created during the project until all fees are paid in full.
Client Materials: The client will retain rights to any material they provide to Task Loyalty LLC for use in the project.
Use of Work Product: Upon full payment, the client is granted a non-exclusive, non-transferable license to use the work product for the intended purpose described in the project agreement.
Promotional Use: The client grants Task Loyalty LLC the right to use their brand, logo, and other identifying marks for promotional purposes, portfolio showcases, and marketing materials.
The client agrees to indemnify and hold Task Loyalty LLC harmless from any claims, damages, liabilities, costs, and expenses arising from the client’s use of our services or any breach of these Terms.
Confidential Information: Both parties agree to keep all confidential information private. Confidential Information includes but is not limited to business plans, financial statements, trade secrets, customer information, and proprietary technologies.
Exclusions: Confidential Information does not include information that is publicly known or independently developed by Task Loyalty LLC without reference to the client’s information.
Protection of Information: Task Loyalty LLC will take reasonable precautions to protect confidential information from unauthorized access or disclosure.
Task Loyalty LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of our services. Our liability is limited to the amount paid by the client for the services.
These Terms shall be governed by the laws of the state of [State]. Any disputes arising from these Terms shall be resolved through negotiation in good faith. If unresolved, disputes will be submitted to arbitration under the Commercial Arbitration Rules of the American Arbitration Association in Florida, USA.
Arbitration: Any controversy or claim arising out of or relating to this Agreement, including interpretation or breach thereof, shall be submitted to binding arbitration in Florida, USA, under the rules of the American Arbitration Association.
Legal Fees: Each party shall bear its own costs and expenses, including attorney's fees, in connection with any arbitration or litigation, unless otherwise determined by the arbitrator or court.
Approval Required: The client agrees not to use third-party developers or designers without prior written consent from Task Loyalty LLC.
Third-Party Content: Task Loyalty LLC is not responsible for third-party content or services and disclaims any liability related to them.
Subcontracting: Task Loyalty LLC may subcontract parts of the project, but remains fully responsible for meeting the obligations outlined in this Agreement.
We reserve the right to modify these Terms at any time. Changes will be communicated via our website or direct communication with clients. Continued use of our services after changes constitutes acceptance of the new Terms.
Entire Agreement: These Terms and Conditions constitute the entire agreement between the parties and supersede all prior agreements, understandings, or representations.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: No waiver of any term of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term.
Force Majeure: Task Loyalty LLC shall not be liable for any failure to perform its obligations hereunder where the failure results from any cause beyond Task Loyalty LLC’s reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation.
